四、如何准备尽职调查问卷

前面已经简要介绍了应就哪些方面对目标公司或项目做尽职调查，以及如何准备尽职调査问卷等。以下将以此为基础，对如何准备尽职调查问卷详细加以介绍。

实践中，尽职调查问卷一般围绕所要调查的内容准备。在具体准备问卷的过程中，建议遵守这样的原则：首先准备一份内容详尽的问卷，然后再与客户磋商，使之适合客户和交易目的的需要。

至于问卷的格式，并无统一规定，需要律师根据客户的需要、交易目的、项目性质等，决定问卷的格式、内容的多寡。实践中，普遍按以下格式准备调查问卷。

附件：法律尽职调查问卷清单（或法律审慎调查清单）

第一部分，填写问卷清单的方式和要求。

第二部分，回答文件清单中的问题并提供相应文件。文件清单中的问题一般有三个答案选项：有、没有或不适用。文件清单中的问题和要求提供的相应文件由目标公司或项目所有人回答并提供。

最后，目标公司就填写完毕的问卷清单和所提供的文件签字盖章确认。这样做的目的主要是要求目标公司或项目的所有人保证其所填写的问卷和所提供文件的真实性。

以下为第一部分：填写问卷清单的方式和要求示例。作为外国律所或跨国公司的律师，经常需要同时以中文、英文准备相应文件，因此，举例亦以英文示之。

（一）关于公司成立的文件

了解公司的历史沿革及股东基本情况对于做好尽职调查、识别和评估法律风险十分重要。公司在成立以后，经常依据经营需要或投资人投资战略的改变对公司的股权结构、经营范围、管理结构等做变更。而就些变更经常需要到政府主管部门做登记、备案甚至取得批准。尤其对于外商投资企业更是如此。

实践中，我们曾经遇到一家外商投资企业将其在企业中的部分股权转让给第三方，而没有通知投资他方，甚至没有到商务主管部门取得批准的情形。对于外商投资企业而言，此类股权转让，违反公司章程和国家法律法规的规定，因此是无效的转让行为。
